Membership Agreement

Your Membership Fee will be billed to your account monthly, quarterly, or annually based your selected membership type, beginning on the date of this Agreement’s execution plus applicable taxes until you cancel in accordance with this agreement.
Your Membership Fee is guaranteed as long as you remain a member in good standing including payment of membership dues and following the standards laid out in this agreement.
To cancel your membership and stop the billing of the Membership Fee, the studio must receive written notification delivered via email to studio@wheelhousecle.com. Cancellations must be sent at least seven (7) business days before the end of your billing cycle to avoid automatic renewal of the next term. Please note that no partial or full refunds will be provided following the cancellation of your membership, but you are authorized to access the studio through the end of your last billing term.
If you provide us with more than one method of payment, you authorize us to charge any amounts you may owe us including, but not limited to, any membership-related obligations, retail transactions, and/or online purchases to any form of payment which you have provided us until such time as you revoke your authorization for that method of payment through any authorized billing service we may use.
If your credit or debit card expires, you authorize us to obtain a new expiration date from the card issuer, if we choose to do so, and/or to continue billing the card in accordance with the terms of this agreement (whether or not we have obtained a new expiration date).
In accordance with applicable law, if our first attempt to collect any fee under this Agreement is unsuccessful, we may make additional attempts to collect from any/all payment methods you provide us, and a 5% service fee with be applied five (5) business days after continued unsuccessful attempts. We are not liable for any fees charged by your financial institution in the event a payment request is returned as uncollectable.
One (1) access key fob will be provided for access to the studio space under your membership in accordance with this agreement. If your key fob is lost, stolen, destroyed, and/or broken, you authorize us to charge a $10 replacement fee to your account balance. If we are unable to collect payment for your membership, your key fob access will be terminated without notification.

Payment Authorization

By signing this agreement, You authorize Wheelhouse Studio & Supply, LLC, (“Wheelhouse” “us” or “we”) its assigns, affiliates and other parties authorized by Wheelhouse to initiate transfer from the Primary Payment Account designated through any authorized billing service for the purpose of billing all or a portion of the recurring Membership Fee you owe to Wheelhouse. You understand that your obligation under this agreement includes the Membership Fee, service fees for uncollectable monthly dues, applicable taxes, charges and any other unpaid fees or dues. If at any time Wheelhouse is unable to successfully bill the Primary Payment Account for any fee or other obligation mentioned above, You further understand that Wheelhouse may re-submit the fee to the Primary Payment Account and/or bill any Alternative Payment Account for any fee or obligation (including services charges), or any portion thereof. You agree that transfers of partial payments of an overdue balance are authorized. This authorization will remain in full force and effect until all of your obligations are paid in full under this agreement. You understand that the amounts debited from your account may vary based on additional amounts owned to us in accordance with the terms of this agreement.

RELEASE OF LIABILITY, indemnification, assumption of risk, club rules, buyer’s notice & RIGHT TO CANCEL

You understand and expressly agree that your use of the Wheelhouse studio involves the risk of injury to you or any guest whether caused by you or not. You understand that these risks are inherent in your use of the studio and can range from minor injuries to major injuries, including death. You understand that your participation in the activities require various degrees of skill and experience. You will review and observe the operational rules and understand that it is your responsibility to ask questions about the operational rules and regulations if necessary. You understand that it is your responsibility to ensure that yourself and the participant(s) undersigned understand the rules. It is your responsibility to supervise your own activities. You certify that you are in good health and that have no physical limitations, which would preclude safe participation at Wheelhouse. If applicable, You understand and voluntarily accept full responsibility on your behalf and on your guest’s behalf for the risk of injury or loss arising out of or related to your use of your guest’s use of the studio including, without limitation, pottery wheels, kilns, pug mills, slab rollers, glaze products, clay products, and participation in any other services, equipyount and/or programs offered to youmbers. You further agree that Wheelhouse Studio & Supply, LLC, their respective affiliated companies, parents, subsidiaries and other officers, directors, shareholders, employees, managers, youmbers, agents and independent contractors of such entities will not be liable for any injury including, without limitation, personal, bodily, or yountal injury, disability, death, economic loss or any damage to you, your spouse or doyoustic partner, guests, unborn child, heirs, or relatives resulting from the negligent conduct or omission of Wheelhouse or anyone acting on their behalf, whether it relates to studio activities or not. Accordingly, to the fullest extent permitted by law, You do hereby forever release, waive and discharge Wheelhouse from any of all claims, demands, injuries, damages, actions or causes of action related to your use or your guest’s use of the facility (collectively, “Claims”) against Wheelhouse or anyone acting on their behalf and hereby agree to defend, indemnify and hold harmless Wheelhouse from and against any such Claims, including Claims made by guests. You further understand and acknowledge that Wheelhouse does not manufacture any wheels, kilns, pug mills, slab rollers or other equipyount or products available in its facilities and therefore Wheelhouse will not be held liable for defective equipyount or products. You understand you are not obligated to sign this agreeyount and should not do so if there are any unfilled blanks. You understand your right of cancellation and the billing and refund policies. You understand your release of liability, assumption of risk and agreeyount to indemnify, defend and hold harmless and you have been given the opportunity to review and ask questions related to your use of the facilities and equipyount, as well as your participation in classes or other services and/or programs offered to youmbers. You agree to comply with Wheelhouse’s youmbership policies and studio rules that may be communicated from tiyou to tiyou, whether in writing, electronically, through studio signage or verbally. Wheelhouse may, in its sole discretion, modify any policy or studio rule at any tiyou and from tiyou to tiyou without advance notice. Wheelhouse reserves the right, in its sole discretion to refund the pro-rated cost of unused services and terminate your youmbership iyouroudiately for violation of any youmbership policy or studio rule. By your signature on the second page of this docuyount, You acknowledge that you have read this agreeyount in its entirety and agree to the terms in full.

1. Parties

Wheelhouse (as previously defined) and you agree that by signing this agreement, you are purchasing a membership or services and agree to all the terms contained in this agreement. The terms “you” and “Wheelhouse” include heirs, estates, agents, representatives, officers, directors, shareholders, managers, members, successors, affiliates, parents, subsidiaries, and employees. Both parties make this agreement on behalf of, and it binds, all these included persons and entities. It is your responsibility to notify Wheelhouse of any change in your mailing address, billing information or contact information.

A) Physical Condition: You represent that you are in good physical condition and have no medical reason or impairment that might prevent you from your intended use of Wheelhouse’s facilities. We do not give members advice relating to their physical condition or ability to use the facilities, so if you have any health or medical concerns now or after you join, please discuss them with your doctor before using the facilities.

B) Liability for Property: Wheelhouse is not liable to you or your guest for any personal property that is damaged, lost, or stolen while on or around Wheelhouse’s premises including but not limited to, a vehicle or its content, any property left on your assigned shelf, any fired or unfired ceramic pieces. If you or your guest cause any damage to Wheelhouse’s facilities, you are liable to Wheelhouse for its cost of repair or replacement.

C) Entire Agreement & Enforcement: You acknowledge that neither Wheelhouse, nor anyone else, made any representations nor promises upon which you relied that are not stated in this agreement. This document contains the entire agreement between you and Wheelhouse and replaces any oral or other written agreement. If a court declares any part of this agreement invalid, it will not invalidate the remaining parts, which continue unaffected. If Wheelhouse does not enforce any right in this agreement for any reason, Wheelhouse does not waive its right to enforce it later. This agreement and all physical or electronic copies hereof will be deemed valid and authentic and you intend and agree that such copies will be given the same legal effect as the original signed agreement.

2. Representation

A) General: Your membership permits you to use Wheelhouse’s premises, facilities, equipment and services and your dues are in exchange for such access whether you use the facilities or not. Your membership grants you the benefits outlined in your original application; any newly introduced membership levels, tiers, or benefits are subject to re-application and execution of a new membership agreement. Your membership is subject to all current company policies, rules, terms, condition and limitations. Your membership gives you no right in Wheelhouse, its management, ownership, property or operation. You have no right to assign your membership or this agreement. Any special promotional membership or rate regarding privileges, usage, hours, benefits or facilities is valid only during its specified period, unless otherwise provided by Wheelhouse in a signed writing.

B) Access: Your membership allows you non-exclusive access to the Wheelhouse facilities during posted or advertised operating hours. You agree to use the studio space solely for artistic and related activities; you may not use the studio for long-term storage of personal items nor as a residence or lodging. Members shall access the facilities using their one (1) provided key fob and may not share access with any other members.

C) Cleanliness of Facilities: You agree to follow all posted rules and procedures for maintaining cleanliness within the Wheelhouse facilities. This includes, but is not limited to, cleaning any wheels used, wiping down surfaces, and properly disposing of materials and water in designated areas. You further agree to follow safe cleaning practices as outlined on studio signage, including methods to minimize dust and other airborne particles. Failure to adhere to these rules may result in termination of your membership without refund. Wheelhouse is not liable for any injury, illness, or condition resulting from unsafe or improper cleaning practices performed by the member.

D) Non-Discrimintation: It is the policy of Wheelhouse not to discriminate against any person on the basis of race, national origin, ancestry, color, creed, religion, sex, sexual orientation, age or disability.

E) Changes to Membership Agreement: Wheelhouse may, from time to time, make changes to this agreement, other than to your guaranteed Membership Fee. Such revision will be effective immediately, provided, however such revisions shall, unless otherwise sated, be effective thirty (30) days after notice. Your continue use of Wheelhouse’s facilities and/or services shall constitute acceptance of these changes.

F) Privacy: Wheelhouse collect, use and disclose certain personal information of members in accordance with our Privacy Policies, which are available free of charge upon request or on our website at www.wheelhousecle.com. Please review the Privacy Policy before signing this agreement as it contains important information relating to your personal information. We may contact you from time to time by telephone, email, text message or other means with information and offers related to your membership which may be of interest to you. If you do not wish to receive such messages, you can opt out at any time.

G. Data Collection: Wheelhouse collects and maintains certain usage data related to your membership, including the times and dates you access the facility using your assigned key fob. This information may be used for operational, security, and marketing purposes, such as improving member experience and understanding studio usage patterns. Wheelhouse will not share personally identifiable information with third parties except as required by law or to maintain essential business operations.

H. Dispute Resolution: In the unlikely event that Wheelhouse is unable to resolve a complaint you may have to your satisfaction (or is unable to resolve a dispute with you after attempting to do so informally), we each agree to resolve such disputes through binding arbitration or small claims court rather than a court of general jurisdiction. For simplicity and fairness, arbitration will be conducted on an individual basis in accordance with the American Arbitration Association’s rules for consumer arbitration. By signing this agreement, you acknowledge and agree that you and Wheelhouse are each waiving the right to a trail by jury and the right to participate in a class action, either in court or in arbitration. This Dispute Resolution provision shall apply to this contract unless, within thirty (30) days of signing this contract, you notify Wheelhouse in writing that you reject this provision. Such notification must be made in writing and delivered to the studio address listed on the first page. Rejection of this provision shall have no effect on the remaining provisions in this contract.

You agree to follow Wheelhouse’s membership policies and studio rules. Wheelhouse may, in its sole discretion, modify the policies and any club rule without notice at any time. All signs posted in the studio or on the premises and any verbal communication from Wheelhouse shall be considered a part of the studio rules. Wheelhouse reserves the right, in its sole discretion, to terminate your membership at any time, effective immediately, for violation of any membership policy or studio rule.

5. Dress Code

You agree to wear clothing appropriate for the activities you engage in while using the facility. Clothing or accessories that may pose a safety risk, cause injury, or damage equipment are not permitted. Members assume full responsibility for any loss, injury, or damage resulting from wearing inappropriate or unsafe attire.

By using the Wheelhouse facilities, you grant permission for your image, likeness, and voice to be captured in photographs and videos. You agree that these materials may be used by Wheelhouse for promotional, marketing, and advertising purposes across digital and physical platforms without compensation or further approval.

Wheelhouse may contact you via telephone, email, text message or other means from time to time for the purpose of notifying you of issues relating to you membership or billing information or for automatic payment processing issues. By providing us with your contact information and signing this agreement, you give your prior express written consent to receive membership, marketing and billing-related communications from us or our authorized delegate to the extend permitted by applicable law, including without limitation the Telephone Consumer Protect Act and the Fair Debt Collection Practices Act.

8. Facilities & Services

A) Wheelhouse reserves the right at any time to remove, discontinue, repair or replace the equipment and tools available to members without any effect on this agreement. Wheelhouse also reserves the right to make changes to the type or quantity of equipment, tools, programs or services offered to members and to alter the hours of operation in Wheelhouse’s sole discretion. You acknowledge and agree that the equipment, programs and services currently available in the studio are subject to change from time to time and are offered on a “first come, first served basis.”

B) Wheelhouse regularly closes its facilities (or portions of its facilities) for maintenance or a temporary basis and also closes on selected holidays, etc., and such temporary closures will have no effect on this agreement so long as such temporary closures are reasonable.

A) Membership Fee: You understand that “Membership Fee” means the amount payable by the Member to the Studio for access to the Studio’s facilities, equipment, resources, and the benefits associated with the Member’s selected Membership. The Membership Fee amount, payment schedule, and applicable terms are specified in the invoice issued to the Member at the time of enrollment (and any subsequent renewals). Membership Fees vary among tiers and may be adjusted by the Studio from time to time in accordance with its then-current pricing policies. Any such adjustments will be communicated to Members with reasonable advance notice. Membership Fees are non-refundable except as expressly provided in this Agreement.

B) Charges & Taxes: Wheelhouse has the right to add to your prepaid dues or to your monthly dues any applicable tax imposed by the government as well as any utility charges or surcharges related to the facility.

9. Dues, Fees, Charges & Taxes

Unless controlling legal authority requires otherwise, any award by an arbitration or a court is limited to the actual compensatory damages. Specifically, neither an arbitrator nor a court can award either party an indirect, special, incidental, consequential or punitive damages, even if one party told the other party that they might suffer these damages.
